Number of shares:  6,001,167 common shares

Purchase price:  75 cents per common share

Number of placees:  79 placees

Total existing insider involvement:  50,000 (one insider)

Total pro group involvement:  836,667 (nine pro groups)

Finder's fee:  $307,186.27 cash and 409,582 warrants

Finder's warrant terms:  Each finder's warrant entitles the holder to purchase one common share at a price of 75 cents for a period of two years from the date of issuance.

The company issued news releases on Dec. 18, 2023, and Dec. 20, 2023, confirming the closing of the private placement.
