TSODILO RESOURCES LTD ANNUAL MEETING RESULTS

At Tsodilo Resources Ltd.'s annual general meeting of shareholders held on May 29, 2026, the following directors were elected: James M. Bruchs, Jonathan R. Kelafant and Blackie Marole.

Appointment of auditor

The shareholders approved the appointment of Jones & O'Connell LLP, St. Catharines, Ont., as auditor of the company.

Grant of stock options

Under the terms of its stock option plan, Tsodilo granted incentive stock options to six individuals consisting of directors of the company and its subsidiaries and an adviser to purchase an aggregate of 775,000 common shares of Tsodilo exercisable at 17 cents. These options vest as to 25 per cent, effective June 1, 2026, and 25 per cent on each of the sixth-, 12th- and 18th-month anniversaries of the date of the grant. The options are valid for five years.
