TSODILO RESOURCES LIMITED - ANNOUNCES NON-BROKERED PRIVATE PLACEMENT OF UNITS

Tsodilo Resources Ltd. has negotiated a non-brokered private placement of 621,660 units of the company at a price per unit of 20 cents, which will provide gross proceeds to the company in the amount of $124,332. Proceeds from the private placement will be used for the advancement of the Xaudum iron formation project in Botswana and for general corporate purposes and working capital.

Each unit will consist of one common share in the capital of the company and one common share purchase warrant of the company, each such warrant entitling the holder to purchase one common share of the company for a period of 24 months from the date of closing at an exercise price of 20 U.S. cents.

The common shares and the warrants comprising the units and the common shares underlying the warrants will be subject to a four-month-plus-one-day hold period from the date of closing per applicable regulatory requirements.

Closing of the private placement is subject to, among other things, receipt by the company of TSX Venture Exchange approval.
