Number of shares:  706,903 common shares

Purchase price:  20 cents per share

Warrants:  706,903 share purchase warrants to purchase 706,903 shares

Warrant exercise price:  20 U.S. cents per share for a 24-month period

Number of placees:  three placees

The company issued a news release on Nov. 16, 2023, confirming the closing of the private placement. Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
