TRES-OR SHAREHOLDERS ELECT KEN JOHNSON TO THE BOARD OF DIRECTORS AND APPROVE ALL RESOLUTIONS AT THE ANNUAL GENERAL MEETING

At today's annual general meeting, Tres-Or Resources Ltd.'s shareholders elected Kenneth W. Johnson to the board of directors and approved all resolutions below as detailed in the management information circular dated July 24, 2023:

• Approval to set the number of directors for the ensuing year at four;
• Election of all nominee directors to the board of directors of the company for the ensuing year;
• Reappointment of Davidson Company LLP, chartered professional accountants, as auditor of the company and authorizing the directors to fix the auditor's remuneration;
• Approval of the company's new 10-per-cent rolling share option plan as described in the information circular.

The board of directors and officers for the ensuing year include Mr. Johnson, Laura Lee Duffett, president and chief executive officer, David J. Cowan, and Gareth E. Mason, chief financial officer and corporate secretary.

Mr. Johnson is a geologist with over 40 years of mining industry experience, including mineral exploration, project acquisition and mine development. He is currently the president and chief executive officer of Lipari Diamond Mines Ltd., and is responsible for the acquisition, financing and development of the Brauna diamond mine, Brazil's largest diamond producer and South America's first diamond mine developed from a kimberlite deposit. He has been active in Brazil for over 20 years and is one of the leading diamond experts in the country. With over 35 years of experience in senior management positions in publicly traded, exchange-listed mining companies, he has significant capital market experience, having raised over $170-million in equity financings since 2000. He holds a BSc degree in geology from the University of Windsor, Ont., Canada, and has completed certification courses in Johannesburg, South Africa, and holds a rough diamond grading certificate related to the valuation of natural diamonds.

Mr. Johnson is the administrator for Vaaldiam do Brasil Mineracao Ltda., a wholly owned subsidiary of Tres-Or, which holds several mineral exploration permits covering several prospective diamond exploration properties in Brazil.

William Moure remains a technical adviser to the board of Tres-Or. Mr. Moure is a practising engineer, registered with the Association of Professional Engineers and Geoscientists of Alberta. Mr. Moure is a graduate of the University of Alberta with an MSc inmetallurgical engineering and a BSc in agricultural engineering (with distinction). Mr. Moure is the owner and president of Canadian Silver Refiners Ltd., a private company with operations that include silver reclaiming, recycling, smelting and refining, and silver alloy manufacturing. He joined the board of directors in October of 2014 and served as a board member through to August, 2023. He continues as an adviser with a focus on enhancing the company's mineral project valuations and new business development initiatives.

Update on Brazilian diamond property acquisition

Tres-Or has completed the purchase of all the shares and registration of a private Brazilian company, Vaaldiam do Brasil Mineracao. Vaaldiam, Tres-Or's wholly owned subsidiary in Brazil, holds mineral exploration permits and contractual arrangements for the exploration of primary diamond deposits and analyses of kimberlite targets covering several prospective diamond exploration properties in the Brazilian states of Minas Gerais and Mato Grosso, Brazil. The acquisition of Vaaldiam gives Tres-Or access to a specialized team with more than 20 years experience in the exploration, evaluation and development of natural diamond sources in Brazil, Canada and Africa.
