The TSX Venture Exchange has accepted for filing the company's proposal to issue 1,049,923 shares to settle outstanding debt for $178,487.

Total non-arm's-length-party involvement:  $178,487, 1,049,923 shares at 17 cents (two parties)

The company shall issue a news release when the shares are issued and the debt extinguished.
