Taranis Resources Inc. announces Private Placement and Debt Settlement

Lakewood, Colorado, December 23, 2016 - Taranis Resources Inc. ("Taranis") [TSX.V: TRO] announces that it has negotiat
--->ed each of the following, subject to regulatory acceptance:

(a) a $65,000 private placement, to consist of the sale of 650,000 units at a price of $0.10 per unit, each unit to co
--->nsist of one common share and one share purchase warrant, with each warrant to entitle the holder to purchase one addi
--->tional common share at a price of $0.11 for a period of two years from closing; and

(b) debt settlement agreements with various creditors pursuant to which $58,560 of indebtedness is to be satisfied by 
--->the issuance of 585,600 common shares at a deemed price of $0.10 per share.
