Pursuant to a directors resolution dated Oct. 21, 2025, the company has consolidated its capital on a one-new-for-two-old basis. The name of the company has not been changed.

Effective at the opening on Thursday, Jan. 22, 2026, the common shares of Totec Resources Ltd. will commence trading on the TSX Venture Exchange on a consolidated basis.
