TRENCH METALS ANNOUNCES PRIVATE PLACEMENT

Trench Metals Corp. will conduct a non-brokered private placement of up to 10 million units of the company at a price of 25 cents per unit to raise gross proceeds of up to $2.5-million. Each unit will consist of one common share of the company and one common share purchase warrant. Each warrant will entitle the holder to purchase one common share of the company at a price of 30 cents at any time on or before the date which is 12 months after the closing of the offering.

The net proceeds raised from the offering will be used to advance exploration work at the Higginson Lake uranium project, located in Northern Saskatchewan, and for general working capital purposes.

The company may pay finders' fees to eligible parties who have assisted in introducing subscribers to the offering. All securities issued in connection with the offering will be subject to restrictions on resale for a period of four months and one day, in accordance with applicable securities laws. The closing of the offering remains subject to the approval of the TSX Venture Exchange.

Incentive option grant

The company has granted 1.5 million incentive stock options to the directors and officers of the company. The options vest immediately and are exercisable at a price of 30 cents until July 10, 2024.
