The TSX Venture Exchange has accepted for filing documentation in connection with the arrangement between Till Capital Corp. and Silver Storm Mining Ltd., pursuant to the terms of an arrangement agreement dated May 5, 2025, as amended May 15, 2025, and a court-approved plan of arrangement under Part 9, Division 5, of the Business Corporations Act (British Columbia).

Pursuant to the terms of the arrangement, Silver Storm will indirectly acquire all of the issued and outstanding common shares of Till. In exchange for each Till share held immediately prior to the arrangement (other than those Till shares held by Silver Storm), Till shareholders will receive approximately 16.360 units of Silver Storm, with the exact number subject to adjustment based on Till's net cash on hand at closing. Each Silver Storm unit consists of one common share of Silver Storm, 0.25 of a purchase warrant to acquire one Silver Storm share and one non-transferable contingent value right (CVR). Each CVR will entitle the holder to an additional cash payment from the sale of Till's 33.3-per-cent ownership of IG Far East LLC, with CVRs being cancelled without payment if the contingent event does not occur within 24 months from closing. The exchange of Till shares is being affected by way of letters of transmittal that the exchange is advised has been mailed to the shareholders of Till.

The exchange has been advised that approval of the arrangement by shareholders of Till was received at a special meeting of shareholders held on July 10, 2025. The Supreme Court of British Columbia provided its final order approving the plan of arrangement on July 15, 2025. The exchange has been advised that the arrangement closed on July 18, 2025. Delisting

Further to the completion of the arrangement, effective at the close of business Monday, July 21, 2025, the common shares of Till Capital will be delisted from the TSX Venture Exchange.
