COLOURED TIES CAPITAL ANNOUNCES EFFECTIVE DATE OF SHARE CONSOLIDATION

Coloured Ties Capital Inc., further to the company's news release dated July 6, 2026, has received conditional approval from the TSX Venture Exchange to consolidate the common shares in the capital of the company on the basis of one postconsolidation common share for three preconsolidation common shares.

The company's postconsolidation common shares are expected to begin trading on the exchange on or about July 14, 2026.

The company's name and stock symbol will remain unchanged following the consolidation. The new Cusip number will be 19682H 20 6 and the new ISIN will be CA 19682H 20 6 3 for the consolidation common shares.

The company currently has 21,886,934 common shares issued and outstanding, and following the consolidation, the company will have approximately 7,295,645 common shares issued and outstanding, prior to rounding for fractional shares.

No fractional common shares will be issued because of the consolidation. Any fractional common shares resulting from the consolidation will be rounded up or down to the nearest whole common share. In connection with the consolidation, the exercise or conversion price and number of common shares issuable under any of the company's outstanding convertible instruments will be proportionately adjusted.

Shareholders who hold their common shares through a securities broker or other intermediary and do not have common shares registered in their name will not be required to take any measures with respect to the consolidation.

Letters of transmittal with respect to the consolidation will be mailed to all registered shareholders of the company. All registered shareholders will be required to send their respective certificates representing the preconsolidation common shares along with a properly executed letter of transmittal to the company's transfer agent, Computershare Investor Services Inc., in accordance with the instructions provided in the letter of transmittal.

All shareholders who submit a duly completed letter of transmittal along with their respective preconsolidation common share certificate(s) to the transfer agent will receive a postconsolidation common share certificate or direct registration advice representing the postconsolidation common shares.
