THINK RESEARCH ANNOUNCES SHARES FOR DEBT TRANSACTION

Think Research Corp., pursuant to its news release on May 1, 2023, has agreed to issue $56,250 in common shares at a per-share price of 32.36 cents, which is equal to the 10-day volume-weighted average price of the company's shares on the TSX Venture Exchange. The shares-for-debt settlement remains subject to approval by the TSX-V. The Think Research shares will be subject to a four-month hold period which will expire on the date that is four months and one day from the date of issuance.
