THINK RESEARCH ANNOUNCES SHARES FOR DEBT TRANSACTION

Think Research Corp. has entered into an agreement with an arm's-length third party pursuant to which the company has agreed to issue $100,000 in common shares in the capital of TRC at a per-share price of 38.14 cents, which is equal to the 10-day volume-weighted average price of TRC shares on the TSX Venture Exchange. The total number of shares to be issued is 262,192. The company may issue up to $450,000 in additional TRC shares in equal quarterly instalments over a two-year period, at a per-share price equal to the 10-day volume-weighted average price of TRC shares on the TSX-V on the relevant payment date. The company may elect to pay any portion of the $450,000 in cash in its discretion. The TRC shares will be issued in order to resolve a contractual dispute dating back to 2019, which the company believes is in its best interest to settle. As part of such settlement, the parties have exchanged mutual full and final releases, and the counterparty has provided the company with a voting support agreement. The shares for debt settlement remains subject to approval by the TSX-V. The TRC shares issued pursuant to the shares for debt settlement will be subject to a four-month hold period which will expire on the date that is four months and one day from the date of issuance.
