TESORO MINERALS ANNOUNCES A $300,000 PRIVATE PLACEMENT

Tesoro Minerals Corp. intends to complete a non-brokered private placement for gross proceeds of up to $300,000 through the sale of up to 15 million common shares at a price of two cents per share. The shares will be subject to a four-month restricted resale period in accordance with the policies of the TSX Venture Exchange and applicable securities laws.

Finders' fees may be payable in cash of up to 6 per cent of the proceeds of the private placement in accordance with TSX-V policies.

Closing of the private placement is subject to certain customary conditions, including the receipt of TSX-V approval. The net proceeds of the offering are expected to be used by Tesoro for general working capital and operating expenses to support business efforts.
