Number of shares:  16,594,116 shares

Purchase price:  17 cents per share

Number of placees:  19 placees

Total existing insider involvement:  899,999 (four insiders)

Total pro group involvement:  872,000 (four pro groups)

Finder's fee:  $41,140 cash and 126,000 warrants

Finder's warrant terms:  Each non-transferable warrant entitles the holder to purchase one common share at the price of 17 cents for period of two years from the date of issuance.

The company issued news releases on Oct. 10, 2023, and Nov. 10, 2023, confirming the closing of the private placement.
