The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on March 4, 2024.

Number of shares:  21 million common share units, each unit consisting of one common share in the capital of the company and one share purchase warrant

Purchase price:  10 cents per unit

Warrants:  21 million warrants to purchase 21 million shares

Warrant price:  15 cents, exercisable until March 22, 2026

Number of placees:  64 placees

Total existing insider involvement:  1.25 million (four existing insiders)

Total pro group involvement:  3.7 million (eight pro group members)

Finders' fees:  $102,865 cash and 1,028,650 warrants (seven finders) (The finders' warrants are exercisable at 15 cents per finder's share until March 22, 2026.)

The company issued news releases on March 4, 2024, March 14, 2024, and March 22, 2024, to confirm the closings of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
