THUNDERBIRD ENTERTAINMENT GROUP ANNOUNCES 2024 AGM RESULTS AND ANNUAL GRANT OF RSUS TO THE BOARD OF DIRECTORS
All matters submitted to shareholders for approval at Thunderbird Entertainment Group Inc.'s annual general and special meeting of shareholders, held Dec. 12, 2024, were approved, including, among other matters, reappointing each of the company's directors to the board: Jennifer Twiner McCarron, Asha Daniere, David Lazzarato, Azim Jamal, Jerome Levy, Lisa Coulman and Taylor Henderson. In addition, shareholders of the company approved the omnibus equity incentive plan to replace the existing stock option plan and equity incentive compensation plan. The omnibus incentive plan is a rolling up-to-10-per-cent share-based compensation plan pursuant to which up to an aggregate of 10 per cent of the common shares issued and outstanding may be reserved for issuance under it and any other security-based compensation plans of the corporation, in the form of stock options, restricted share units (RSUs), deferred share units (DSUs) and performance share units (PSUs). A copy of the omnibus incentive plan and further details are included in the company's management information circular regarding the meeting available on SEDAR+. The omnibus incentive plan remains subject to the final approval of the TSX Venture Exchange.
The company granted an aggregate of 179,476 RSUs to its non-executive directors on Dec. 16, 2024, pursuant to the terms of the company's omnibus incentive plan. The RSUs will vest on the later of: (i) the date that is immediately prior to the date of the company's next annual meeting of its shareholders; or (ii) the one-year anniversary of the date of the grant. Each vested RSU entitles the holder to receive one common share of the company.
