Qualifying transaction -- completed/new symbol
Pursuant to an amalgamation agreement dated March 24, 2026, as amended Sept. 21, 2026, the company acquired all of the issued and outstanding shares of Juno Industries Inc. by way of a three-cornered amalgamation among the company, Juno and a wholly owned subsidiary of the company (Trail Blazer Subco). Trail Blazer Subco and Juno amalgamated to form Juno Industries (B.C.) Inc., a wholly owned subsidiary of the company. In connection with the amalgamation, shareholders of Juno received 1.45 postconsolidation common shares of the company for each Juno share held, resulting in the issuance of 22,474,996 postconsolidation shares at a deemed price of 80 cents per share.
In conjunction with the QT, Juno completed a concurrent non-brokered private placement of 15 million subscription receipts at a price of 80 cents per subscription receipt for aggregate gross proceeds of $12-million. Upon the satisfaction of the escrow release conditions, the subscription receipts converted into Juno shares, which were subsequently exchanged for postconsolidation shares of the resulting issuer on the basis that holders received one postconsolidation share of the resulting issuer for each subscription receipt. In connection with the concurrent financing, the company paid eligible arm's-length finders aggregate cash finders' fees of $209,100 and issued 262,180 finders' warrants. Each finder's warrant entitles the holder to purchase one resulting issuer share at an exercise price of 80 cents per share for a period of 24 months. Additionally, pursuant to an advisory agreement, the company paid Canaccord Genuity Corp. a cash corporate finance fee of $40,000 and issued 150,000 resulting issuer shares at a deemed price of 80 cents per share.
In consideration for their role in introducing Juno to the company and providing assistance with the QT, the company issued an aggregate of one million postconsolidation shares at a deemed price of 80 cents per share as finders' fees to arm's-length finders Tavros Capital Partners Corp. and Sequoia Partners Inc.
