TRUSTBIX INC. ANNOUNCES AMENDMENT TO PRIVATE PLACEMENT AND CHANGE OF TRANSFER AGENT

Trustbix Inc. has amended the non-brokered private placement, previously announced on Dec. 18, 2023, and has replaced its registrar and transfer agent.

Amendment to private placement

The company has amended the terms of its non-brokered private placement previously announced on Dec. 18, 2023. The amended private placement will now be comprised of up to 10 million common shares at a price of one cent per common share for gross proceeds of up to $100,000, subject to regulatory approval.

The common shares issued pursuant to the private placement will be subject to a statutory hold period lasting four months and one day following the closing date. The company intends to use the proceeds from the private placement for general working capital and growing the business.

The common shares issued under the private placement will be sold to investors pursuant to prospectus exemptions available under National Instrument 45-106, including exemptions for: accredited investor, employee, executive officer, director and consultant, and existing security holders.

Change of transfer agent

The company has replaced Computershare Trust Company of Canada as the registrar and transfer agent of the company's common shares with Odyssey Trust Company. Shareholders do not need to take any action with respect to the change in registrar and transfer agent services.

All inquiries and correspondence relating to the shareholder records, transfer of shares, loss certificates or change of address should now be directed to Odyssey Trust Company.
