The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Aug. 14, 2023.

Number of shares:  4.5 million common shares

Purchase price:  two cents per share

Warrants:  4.5 million share purchase warrants to purchase 4.5 million shares

Warrant exercise price:  five cents per share for a period of 12 months from the date of closing

Number of placees:  12 placees

Total existing insider involvement:  550,000 (two insiders)

The company issued news releases on Oct. 16, 2023, and Dec. 18, 2023, confirming the closing of the private placement.
