The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on April 3, 2023, April 13, 2023, June 14, 2023, and June 21, 2023.

Number of shares:  20 million shares (chess depository interests (CDIs))

Purchase price:  10 Australian cents (nine Canadian cents) per share

Warrants:  10 million share purchase warrants/CDI options to purchase 10 million shares

Warrant exercise price:  15 Australian cents (13 Canadian cents) for a three-year period

Number of placees:  39 placees

Total existing insider involvement:  500,000 (two insiders)

Finder's fee:  $63,350 (Australian)

The company issued a news release on June 21, 2023, confirming the closing of the private placement. (Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.)
