Plan of arrangement

The TSX Venture Exchange has accepted for filing documentation in connection with an arrangement agreement between Northern Superior Resources Inc. and Iamgold Corp., dated Oct. 19, 2025. Pursuant to the agreement, Iamgold has agreed to acquire all of the issued and outstanding common shares of Northern Superior by way of a plan of arrangement under the provisions of the Business Corporations Act (British Columbia). Under the agreement, each Northern Superior share will be exchanged for 0.0991 of an Iamgold common share and 19 cents cash. Iamgold will issue an aggregate of 18,105,391 common shares and pay $34,545,503.68 in cash to Northern Superior securityholders.

The exchange has been advised that approval of the transaction by the Northern Superior shareholders was received at a special meeting of shareholders held on Dec. 10, 2025, and that approval of the transaction was received from the British Columbia Supreme Court on Dec. 15, 2025. The transaction completed on Dec. 19, 2025. Delisting

Pursuant to a directors resolution dated Oct. 19, 2025, and in conjunction with the closing of the transaction, Northern Superior has requested that its common shares be delisted. Accordingly, effective at the close of business, Dec. 22, 2025, the common shares of Northern Superior will be delisted from the exchange.
