POWERBANK ANNOUNCES RESULTS OF ANNUAL GENERAL MEETING

The nominees listed in the management information circular for Powerbank Corp.'s 2025 annual general meeting of shareholders were elected as directors of Powerbank. Detailed results of the vote for the election of directors held at the annual general meeting on Dec. 11, 2025, in Toronto, Ont., are set out in the attached table.

Shareholders at the meeting also voted in favour of appointing Deloitte LLP as auditor.
