Effective at the close of business on Tuesday, July 7, 2026, the common shares of Star Royalties Ltd. will be delisted from the TSX Venture Exchange. The delisting of Star shares results from the completion of a court-approved plan of arrangement under the provisions of the Canada Business Corporations Act, pursuant to an arrangement agreement dated March 16, 2026, as amended on May 13, 2026, between Summit Royalties Ltd. and Star. Pursuant to the arrangement agreement, the purchaser acquired all of the issued and outstanding common shares of Star.

Under the terms of the arrangement, each Star shareholder received 0.36 common share of the purchaser for each common share of Star held. The exchange has been advised that approval of the arrangement by Star shareholders was received at a special meeting of shareholders held on June 22, 2026, and that a final order approving the arrangement was issued by the Ontario Superior Court of Justice (Commercial List) on June 24, 2026. The arrangement became effective on July 3, 2026.
