The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Oct. 17, 2023.

Number of shares:  5,555,000 flow-through shares; 3,501,727 non-flow-through shares

Purchase price:  5.5 cents per flow-through share; 5.5 cents per non-flow-through share

Warrants:  9,056,727 share purchase warrants to purchase 9,056,727 shares

Warrant exercise price:  seven cents for a 12-month period, subject to an acceleration clause

Number of placees:  15 placees

Total existing insider involvement:  364,000 (one insider)

The company issued news releases on Oct. 26, 2023, Nov. 3, 2023, and Nov. 22, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
