CHANGES TO BOARD OF DIRECTORS AND EXECUTIVE MANAGEMENT

 

StickIt is pleased to announce strategic changes to its executive leadership team and Board of Directors designed to accelerate commercial execution and strengthen corporate governance as the Company expands its international presence.

 

Key Governance & Leadership Appointments:

 

•        Chief Executive Officer Appointment : Effective July 10, 2026, Dr. Adi Zuloff-Shani has been appointed as Chief Executive Officer succeeding Eli Ben-Haroosh who resigned on April 1, 2026. Dr. Zuloff-Shani brings extensive executive leadership, biotechnology expertise, and operational acumen to drive StickIt's global joint venture strategy and commercial distribution.

 

Dr. Zuloff- Shani is a biomedical executive and immunologist with over two decades of experience leading therapeutic R&D across biotech and pharmaceutical companies. She is the CEO of Clearmind Medicine (NASDAQ: CMND), where she oversees the development of non ‑ hallucinogenic psychedelic ‑ derived treatments for mental ‑ health and addiction disorders. Her career spans drug discovery, CMC, preclinical and clinical development, and global regulatory strategy.

 

•        Board of Directors Additions : Effective July 10, 2026, Mr. Gabriel Kabazo and Mr. Nir Eliyahu have joined the Board of Directors as independent, non-executive directors replacing all previous directors except Mr. Ohad David. Both appointees bring deep financial, capital markets, and corporate governance expertise to the organization.

 

Mr. Kabazo is an experienced finance and operations professional with over 25 years of experience supporting accounting, financing, and IT operations in complex corporate environments. Mr. Kabazo currently serves as Chief Financial Officer or Chief Executive Officer of several public companies listed on the TSX Venture Exchange, Canadian Securities Exchange, and U.S. markets, and brings extensive expertise in public company reporting, financings, and corporate governance.

 

Mr. Eliyahu is a private business owner who specialized in distribution channels and online sales for nine years (2012 to 2021) with Connect Inc. (USA) and Telem distribution in Vancouver. He was responsible for building distribution channels for both B2B and B2C products, brand development, marketing, sales strategies, and a training platform. He has a BSc degree from the University of Ariel in Electrical Engineering.

SUMMARY OF RECENT LOAN ACQUISITION & PRIVATE PLACEMENT

 

StickIt has completed key corporate recapitalization and financing milestones to optimize its balance sheet, reduce direct debt obligations, and fund ongoing operational and commercial activities ( See StickIt’s press releases dated October 25 and 29 of 2025;December 31, 2025; and February 17, 2026 ).

 

Debt Restructuring & Loan Acquisition : In connection with corporate reorganization initiatives, the Company executed transactions under a letter of intent with Capitalink Ltd. (“Capitalink”), under which Capitalink acquired rights to outstanding debt amounts previously owed by the Company to corporate insiders (including executive directors) totaling approximately $617,000 for a restructured consideration of $380,000. This loan assignment substantially alleviates short-term liability pressures and simplifies the Company's debt structure without triggering a fundamental change of corporate control. The acquisition of the aforementioned debt was made directly between Mr. Eli Ben Haroosh and Mr. Asher Holzer on the one side and Capitalink, the Company was not a party to this agreement.

 

Non-Brokered Private Placement Financing : Furthering its financial stabilization plan, StickIt closed a non-brokered private placement offering of securities. Key parameters of the offering include:

•        Gross Proceeds & Units Issued : Issued 28,884,000 units ("Units") at a price of CAD $0.025 per Unit, raising aggregate gross proceeds of CAD $722,100.

•        Unit Structure : Each Unit consists of one common share and one full transferable common share purchase warrant. Each warrant entitles the holder to purchase one additional common share at an exercise price of CAD $0.025 for a period of 36 months from closing.

•        Capital Adjustments & Approvals : In support of capital restructuring, the Company completed a share consolidation (1 post-consolidation share for 5 pre-consolidation shares) to increase equity structuring flexibility. The Company operated under CSE policy exemptions for issuers facing financial difficulty to complete the capital injection efficiently.

•        Use of Proceeds : Net proceeds have been allocated to working capital, joint-venture setup costs, raw material procurement, and scaling the commercial production of its flagship "Cannabis Sticks" product lines.

  

INTELLECTUAL PROPERTY & PATENT PORTFOLIO UPDATE

 

StickIt continues to enforce and broaden its competitive advantage through a robust global intellectual property strategy centered on its novel, patent-protected delivery vehicles for therapeutic compounds, plant extracts, and cannabinoid delivery systems.

Licensing & Joint Venture Model : Stickit's operating model is to establish joint ventures in countries around the world where recreational cannabis is permitted. Each licensee/joint venture partner will establish a production facility in which they will add the cannabis content to sticks produced and supplied by Stickit. As part of those arrangements StickIt is expected to provide the joint venture with the know-how required to manufacture the finished product. The licensee/joint venture partner will produce the finished product, adding cannabis to the raw materials provided by StickIt, and will sell them either directly to the points of sale or through distributors The licensee is expected to pay a setup fee by investing the funds necessary to set up the local production facility. Each licensee will have exclusive rights to produce and market Stickit products in their designated territory.
