SPECTRA PRODUCTS INC. PROVIDES RESULTS FROM ANNUAL SHAREHOLDER MEETING 2023

All resolutions considered at Spectra Products Inc.'s 2023 annual meeting of shareholders on March 19, 2024, were approved by its shareholders.

Shareholder-approved resolutions:

• Fix the number of directors to be elected at the meeting at four members;
• Consider and, if thought appropriate, pass an ordinary resolution electing four directors of the corporation;
• Appoint the auditor of the corporation and authorize the directors to fix its remuneration as such;
• Consider and, if thought appropriate, pass an ordinary resolution ratifying the corporation's existing stock option plan;
• Transact such other business as may properly be brought before the meeting or any adjournment(s) thereof.

These resolutions voted on at the meeting are described in more detail in Spectra Products' notice of annual general and special meeting of shareholders dated Feb. 12, 2024.

Spectra Products is the Toronto-based North American designer, manufacturer and distributor of wheel and safety products for the transportation industry. These products include Brake Safe, Brake Inspector, Zafety Lug Lock, Hub Alert, as well as the Termin-8R line of anti-corrosion and extreme-pressure lubricants.
