Naughty Ventures Corp. Files Early Warning Report

Acquisition

VANCOUVER, November 26, 2025 - Naughty Ventures Corp. (the "Acquiror") announces that effective November 21, 2025, it acquired ownership of 9,000,000 common shares (each, a "Share") of Sorrento Resources Ltd. (the "Company") at a price of $0.25 per Share (the "Transaction"). The Shares were issued pursuant to an amended and restated option agreement dated October 29, 2025 for the purchase of up to 100% of the Acquiror's right, title and interest in and to certain mineral claims commonly known as the Bottom Brook rare earth element property located in the Province of Newfoundland and Labrador.

The Acquiror did not own any Shares prior to the Transaction. The Shares issued in the Transaction resulted in the Acquiror owning 9,000,000 Shares representing 17.25% of the Shares of the Company based on 52,172,769 Shares issued and outstanding.

Prior the Transaction, the Acquiror did not own, directly or indirectly any securities of the Company.

Following the Transaction, the Acquiror owns and controls an aggregate of 9,000,000 Shares, which represents 17.25% of the 52,172,769 issued and outstanding Shares as of November 21, 2025, the date of the issuance of the Shares.

The Acquiror has filed an Early Warning Report pursuant to National Instrument 62-103F1 The Early Warning System and Related Take-Over Bid and Insider Reporting Issues describing the above transaction with the applicable securities regulatory authorities. A copy of the Early Warning Report is available on SEDAR+ at www.sedarplus.ca under the profile of the Company.
