Vancouver, BC – August 28, 2026 – TheNewswire - Stellar AfricaGold Inc. (“Stellar” or the “Company”) (TSXV: SPX, TGAT: 6YP and FSX: 6YP) announces the grant of incentive stock options and performance share units.

 

Incentive Stock Options

 

Pursuant to Stellar’s Omnibus Long-Term Incentive Plan (the “LTIP”) approved by Shareholders on February 27, 2025 the Company has granted an aggregate of 1,750,000 incentive stock options to five directors and one employee of the Company. The options are exercisable at a price $0.12 per share until August 28, 2031.

 

Performance Share Units

 

Additionally, and pursuant to its shareholder-approved LTIP, Stellar has granted an additional 100,000 Performance Share Units (“PSUs”) to Dr. Paul Kitto, a director of and senior geological consultant to the Company, contingent upon the Company achieving a total of 600,000 ounces of Inferred and Indicated gold resources, bringing the total PSUs granted to Dr. Kitto to 750,00 contingent upon incremental milestones of gold resources discovered. ( See also news release dated August 27, 2025 .) Each PSU allows the holder to acquire one common share of the Company (a “Common Share”) for nil consideration upon certain exploration milestones being met, namely, the Common Shares will issue upon the Company incrementally defining cumulative National Instrument 43-101 compliant Inferred and Indicated gold resources aggregating 600,000 ounces of gold resources. In accordance with TSX-V Policy 4.4 the currently granted PSUs will vest 12 months from the date of grant, i.e. August 28, 2027. The PSU grant is subject to the acceptance of the TSX Venture Exchange.
