SPARK ENERGY MINERALS ANNOUNCES NON-BROKERED PRIVATE PLACEMENT TO FUND NEAR-TERM DRILLING AT ARAPAIMA

Spark Energy Minerals Inc. intends to complete a non-brokered private placement of up to of up to $500,000 by offering up to 10 million units of the company at a price of five cents per unit.

Each unit will consist of one common share in the capital of the company and one warrant to purchase an additional common share at a price of six cents per warrant share for a period of three years from the date of issue. The securities will be subject to a hold period of four months and one day from the date of closing of the private placement. The company expects to close the private placement, on or about Nov. 28, 2025, or such later date as may be determined by the company.

The net proceeds of the offering will be used to finance Spark's near-term drill program at the Arapaima project in Brazil, including mobilization and initial drilling costs, with the balance allocated to general working capital. No finders' fees are payable in connection with the private placement.
