The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on June 1, 2023.

Number of shares:  17,029,961 flow-through shares and 5,285,888 non-flow-through shares

Purchase price:  10.5 cents per flow-through share and nine cents per non-flow-through share

Number of placees:  43 placees

Total existing insider involvement:  155,555 (two insiders)

Total pro group involvement:  1.55 million (four pro groups)

Finder's fee:  $96,546.65 cash and 939,180 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 10.5 cents for period of one year from the date of issuance.

The company issued a news release on June 29, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
