SONA NANOTECH TO ARRANGE PRIVATE PLACEMENT FINANCING

Sona Nanotech Inc. plans to raise up to $2.4-million through a private placement financing of up to eight million common shares of Sona at a price of 30 cents per share. Insiders and certain other existing shareholders of Sona may also subscribe for shares under the financing.

Sona intends to use the net proceeds of the financing for advancing studies to support the clinical advancement and continuing research and development work on its targeted hyperthermia therapy (THT) oncology treatment, as well as for general working capital purposes.

Completion of the financing is subject to the satisfaction of certain conditions as well as the approval of the Canadian Securities Exchange. All securities issued pursuant to the financing will be subject to a hold period of four months and a day commencing from the closing date.

About Sona Nanotech Inc.

Sona Nanotech is developing targeted hyperthermia, a photothermal cancer therapy, that uses therapeutic heat to treat solid cancer tumours. The heat is delivered to tumours by infrared light that is absorbed by Sona's gold nanorods in the tumour and re-emitted as heat. Therapeutic heat (42 to 48 degrees Celsius) stimulates the immune system, shrinks tumours, inactivates cancer stem cells and increases tumour perfusion, an approach aligned with the melanoma research community's active focus on converting immunogenically "cold" tumours, which resist immunotherapy, into "hot" tumours that the immune system can recognize and attack, thus enabling drugs to reach all tumour compartments more effectively. Targeted Hyperthermia promises to be safe, effective, minimally invasive, competitive in cost, and a valuable adjunct to drug therapy and other cancer treatments.

Sona has developed multiple proprietary methods for the manufacture of gold nanoparticles which it uses for the development of both cancer therapies and diagnostic testing platforms. Sona Nanotech's gold nanorod particles are cetyltrimethylammonium-(CTAB)-free, eliminating the toxicity risks associated with the use of other gold nanorod technologies in medical applications.
