SATURN OIL & GAS COMPLETES VERTICAL AMALGAMATION

Effective Jan. 1, 2026, Saturn Oil & Gas Inc. completed a vertical short-form amalgamation with two wholly owned subsidiaries, 1777241 Alberta Ltd. (formerly CapitalEnergy Corp.) and Clearview Resources Ltd. Through the amalgamation, Saturn's asset base and development activities now function under a single corporate entity, reducing corporate and operational expenses.

Following the amalgamation, no action is required by existing shareholders, nor will any certificates representing Saturn's common shares be affected. The certificate of amalgamation is available on the company's SEDAR+ profile.
