Saturn Oil & Gas to trade on TSX

The Toronto Stock Exchange reports that Saturn Oil & Gas Inc. will be listed and posted for trading at the open on June 15, 2023. According to the TSX, there will be 138,633,786 common shares, 6,781,000 Series A warrants and 13,663,716 Series B warrants of the company issued and outstanding, and 49,533,463 shares reserved for issuance. The shares will trade under the symbol SOIL and Cusip No. 80412L 88 3, the Series A warrants will trade under the symbol SOIL.WT.A and Cusip No. 80412L 18 0, and the Series B warrants will trade under the symbol SOIL.WT.B and Cusip No. 80412L 21 4.

The TSX reports that Saturn Oil is a growth-oriented oil and gas company focused on the acquisition and development of undervalued, low-risk assets. The company is involved in the production, exploration and development of its oil and gas assets in Alberta, and also in southeast and west-central Saskatchewan. According to the TSX, the company has not declared or paid any dividends on its shares. Any decision to pay dividends on the shares in the future will be made by the board of directors on the basis of the company's earnings, financial requirements and other conditions existing at such future time.

The TSX notes that Saturn Oil has been listed on the TSX Venture Exchange since Aug. 7, 2018, under the symbol SOIL. The Series A warrants and Series B warrants have been listed on the TSX-V since March 18, 2022, and July 8, 2022, respectively. The securities will be delisted from the TSX-V on June 15, 2023, upon the start of trading on the TSX. According to the TSX, the shares are also listed for trading on the Frankfurt Stock Exchange under the symbol SMKA and the OTCQX Best Market under the symbol OILSF.

The transfer agent and registrar is Computershare Trust Company of Canada at its principal office in Vancouver for the shares, and at its principal office in Calgary for the Series A and Series B warrants. The temporary market-maker is Citadel Securities Canada ULC. As stated in the warrant indenture dated March 10, 2022, the Series A warrants are exercisable at $4 per share until March 10, 2024. As stated in the warrant indenture dated June 8, 2022, the Series B warrants are exercisable at $3.20 per share until July 7, 2023.
