The TSX Venture Exchange has accepted for filing documentation relating to an asset purchase agreement dated Dec. 14, 2023, between Shiny Health & Wellness Corp. and an arm's-length party. Pursuant to the terms of the agreement, the company shall acquire Stash & Co.'s (the target) 10 adult-use cannabis retail stores. Additionally, as part of this transaction, the company shall be the sole owner of the targets brand and trademark and the dispensaries.

As consideration on closing, the company will pay the vendor an aggregate of $1-million to be satisfied through the following: (i) the payment of $800,000 in cash; and (ii) the issuance of 1.75 million common shares of the company at a deemed price of 10 cents per share.
