The TSX Venture Exchange has accepted for filing the company's proposal to issue 1,568,500 common shares at a deemed value of 10 cents per share and 1,168,500 common share purchase warrants, each exercisable at 35 cents per share for a period of two years, to settle outstanding debt for $156,850.

Total non-arm's-length-party involvement:  $40,000, 400,000 shares at 10 cents (one party)

The company shall issue a news release when the shares are issued and the debt extinguished.
