SMARTWELL CONFIRMS SUSPENSION OF TRADING
Further to its news release of Sept. 8, 2026, Smartwell Technology Corp. has confirmed that the TSX Venture Exchange suspended trading in the company's securities on Sept. 8, 2026, as a result of a cease trade order (CTO) issued by the British Columbia Securities Commission. The CTO was issued as a result of the company's failure to file its unaudited interim financial statements for the period ended June 30, 2026, and the related management's discussion and analysis, and Form 52-109FV2 chief executive officer and chief financial officer certifications of interim filings for this period before the Aug. 31, 2026, filing deadline.
The TSX Venture Exchange has advised the company that a reinstatement to trading is not automatic. Reinstatement to trading can occur only when the CTO is revoked and the TSX-V has concluded its reinstatement review to ensure the company has satisfactorily complied with TSX-V requirements. If the company does not complete its reinstatement to Tier 2 and/or is unable to meet Tier 2 CLR by Dec. 8, 2026, the TSX-V has advised that it may transfer the securities of the company to the NEX, without further notice to the company.
Upon completion of the required filings and revocation of the CTO by the British Columbia Securities Commission, the company will submit the required materials to the TSX-V requesting the reinstatement of trading. Revocation of the CTO and reinstatement of trading are expected to occur within a few days after the required filings are made.
