SILVER DOLLAR RESOURCES PROPOSES WARRANT EXPIRY EXTENSION
Silver Dollar Resources Inc. intends to
extend the expiry date of 3,022,600 share purchase warrants from Oct. 29,
2026, to Oct. 29, 2027, subject to acceptance by the Canadian
Securities Exchange, as applicable, the agreement of the holders and compliance with
applicable securities laws.
The warrants were issued on Oct. 29, 2024, as part of a non-brokered private placement of
six million units priced at 25 cents each. The units comprised one common share and one-half of a
non-transferable share purchase warrant, with each full warrant entitling the holder to purchase one
additional common share of the company at a price of 40 cents per share for, originally, two years
from the closing date of the offering. In conjunction with the offering, the company also issued
89,600 warrants on the same terms in respect of finders' fees.
Pursuant to the proposed extension, the exercise price and all other terms of the warrants remain
unchanged. The closing price of the company's common shares on the CSE on Sept. 21,
2026, was 27 cents.
The proposed extension will become effective on the closing date determined by the company
following receipt of CSE acceptance, as applicable, and the required holder agreements, accredited
investor representations and other confirmations required by the company for purposes of
applicable securities laws. A holder that does not satisfy these conditions will not receive the
benefit of the proposed extension, and the warrants held by that holder will continue to expire on
Oct. 29, 2026, in accordance with their existing terms.
The proposed extension will constitute a new distribution of the warrants under applicable
Canadian securities laws. The company intends to rely on the accredited investor exemption from
prospectus requirements in connection with the proposed extension. The warrants, as amended,
and any common shares issued upon exercise thereof will be subject to a statutory hold period of
four months and one day from the effective date of the proposed extension, in accordance with
applicable Canadian securities laws. Any proceeds from the exercise of the warrants will be used
for general working capital purposes.
The company will rely on subsections 5.5(b) and 5.7(1)(a) of Multilateral Instrument 61-101 to
exempt the proposed extension from the requirements for a formal valuation and minority
shareholder approval. To the company's knowledge, neither it nor the purchasers have knowledge
of any material information concerning the company or its securities that has not been generally
disclosed.
