2026-10-16 16:31 ET - News Release

Mr. Larry Swets Jr. reports

SALTIRE CAPITAL LTD. ANNOUNCES SPECIAL MEETING OF SHAREHOLDERS TO BE HELD ON DECEMBER 15, 2026

Saltire Capital Ltd. is providing an update with respect to the proposed conversion by the minority shareholders of SanStone Investments Ltd. of their SanStone shares into common shares of Saltire pursuant to the terms of SanStone's shareholders agreement dated Aug. 5, 2025.

The corporation has obtained conditional approval from the Toronto Stock Exchange (the TSX) for the conversion. Pursuant to sections 611(b) and 611(c) of the TSX Company Manual, shareholder approval of the conversion is required as the number of common shares to be issued in connection with the conversion (i) exceeds 25 per cent of the currently issued and outstanding common shares, and (ii) to minority shareholders who are insiders of Saltire will exceed 10 per cent of the number of outstanding common shares. In accordance with the terms of the TSX's conditional approval letter, the corporation is calling a special meeting of shareholders to be held on Dec. 15, 2026. At the special meeting, shareholders (other than the minority shareholders) will be asked to consider and, if thought advisable, pass an ordinary resolution approving the conversion.

The conversion and the listing of common shares issuable in connection with the conversion are subject to the corporation satisfying all of the listing requirements of the TSX.

Further details regarding the special committee will be included in the corporation's management information circular, to be filed in connection with the special meeting.
