The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Aug. 25, 2023.

Number of shares:  8,333,333 units

Purchase price:  12 cents per unit

Warrants:  8,333,333 share purchase warrants to purchase 8,333,333 shares

Warrant exercise price:  18 cents for an 18-month period

Number of placees:  40 placees

Total pro group involvement:  174,000 (one pro group)

Finder's fee:  $32,646.08 cash and 272,050 warrants

Finder's warrant terms:  Each finder's warrant entitles the holder to purchase one common share at the price of 12 cents for a period of 18 months from the date of issuance.

The company issued news releases on Sept. 13, 2023, and Sept. 14, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
