The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Feb. 7, 2023.

Number of shares:  6,425,000 common shares

Purchase price:  eight cents per common share

Warrants:  6,425,000 share purchase warrants to purchase 6,425,000 common shares

Warrant exercise price:  12 cents for a two-year period

Number of placees:  24 placees

Total existing insider involvement:  one million (one insider)

Total pro group involvement:  375,000 (three pro groups)

Finder's fee:  $19,200

The company issued a news release on April 5, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
