SHELFIE-TECH ANNOUNCES PRIVATE PLACEMENT

Shelfie-Tech Ltd. intends to close on or around Oct. 9, 2026, its previously announced (see the company's news release of June 10, 2026) non-brokered private placement. The private placement is now expected to consist of an offering of up to 1,179,775 common shares of the company at a price of $1.78 per share to raise gross proceeds of up to approximately $2.1-million.

The proceeds from the private placement will be used to complete the acquisition of Aspect Information Systems Ltd. (see the company's news release of May 4, 2026), and for general working capital and corporate purposes.

The securities issued will be subject to a four-month-and-one-day hold period.

The company will pay a cash finders' fees and will issue shares to eligible finders in accordance with applicable securities laws and the policies of the Canadian Securities Exchange.
