The TSX Venture Exchange has consented to the reduction in the exercise price of the following warrants.

Private placement

Expiry date of warrants:  Feb. 29, 2024

Forced exercise provision:  If the closing price for the company's shares is 10 cents or greater for a period of 10 consecutive trading days, then the warrantholders will have 30 days to exercise their warrants; otherwise, the warrants will expire on the 31st day.

Original exercise price of warrants:  17 cents

New exercise price of warrants:  eight cents (new)

Number of warrants remaining:  1,708,344

Expiry date of warrants:  Feb. 29, 2024

Exercise price of warrants:  17 cents (unchanged)

These warrants were issued pursuant to a private placement of 21,473,883 units with an aggregate of 17,120,274 share purchase warrants issued, which were accepted for filing by the exchange effective Aug. 31, 2022. Of the 17,120,274 warrants, 1,708,344 warrants, which are beneficially owned by the directors or officers of the company, will not be repriced.
