The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced July 18, 2023.

Hard-dollar (HD) units

Number of shares:  3,028,500 hard-dollar shares

Purchase price:  3.5 cents per HD share

Warrants:  1,514,250 share purchase warrants to purchase 1,514,250 shares

Warrant exercise price:  six cents for a 12-month period

National flow-through (NFT) shares

Number of shares:  1,625,000 national flow-through shares

Purchase price:  four cents per NFT share

Warrants:  812,500 share purchase warrants to purchase 812,500 shares

Warrant exercise price:  six cents for a 12-month period

Ontario (OFT) flow-through units

Number of shares:  7,846,500 Ontario flow-through shares

Purchase price:  five cents per OFT share

Warrants:  3,923,250 share purchase warrants to purchase 3,923,250 shares

Warrant exercise price:  six cents for a 12-month period

Number of placees:  16 placees

Total existing insider involvement:  1,849,928 HD shares, 1.25 million NFT shares and 89,640 OFT shares (four insiders)

The company issued a news release on Aug. 10, 2023, confirming the closing of the private placement. Note that in certain circumstances, the exchange may later extend the expiry date of the warrants if they are less than the maximum permitted term.
