Purchase price:  20 cents per unit

Warrant:  17,827,635 share purchase warrants to purchase 17,827,635 shares

Warrant purchase price:  30 cents for three years from the date of issuance

Number of placees:  70 placees

Total existing insider involvement:  400,000 (two insiders)

Total pro group involvement:  1,489,000 (seven pro groups)

Finder's fee:  $121,445.45 cash, 500,000 shares and 607,228 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 20 cents for a period of three years from the date of issuance.
