The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on March 15, 2023.

Number of shares:  10,261,061 shares

Purchase price:  20 cents per share

Warrants:  5,130,530 share purchase warrants to purchase 5,130,530 shares

Warrant exercise price:  30 cents for a two-year period, subject to accelerated expiry

Number of placees:  54 placees

Total existing insider involvement:  500,000 (one insider)

Total pro group involvement:  825,000 (five pro groups)

Finder's fee:  $89,390 cash and 446,950 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 30 cents for a period of two years from the date of issuance.

The company issued a news release on June 8, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
