The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on July 11, 2023.

Number of shares:  4,694,505 shares

Purchase price:  32 cents per share

Warrants:  2,347,253 share purchase warrants to purchase 2,347,253 shares

Warrant exercise price:  50 cents for a two-year period

Number of placees:  38 placees

Total existing insider involvement:  50,000 (one insider)

Total pro group involvement:  522,625 (three pro groups)

Finder's fee:  $94,179.20 cash and 294,310 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 32 cents for period of two years from the date of issuance.

The company issued a news release on Aug. 3, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
