The common shares of the company have been halted from trading since Feb. 12, 2026, pending completion of a qualifying transaction.

Effective at the opening, Tuesday, July 21, 2026, the common shares of Ocal Financial Inc. will commence trading on the TSX Venture Exchange under the new symbol OCAL.

Qualifying transaction -- completed/new symbol

The TSX Venture Exchange has accepted for filing the company's qualifying transaction, as described in its filing statement dated July 9, 2026. As a result, at the opening on Tuesday, July 21, 2026, the company will no longer be considered a capital pool company (CPC). The qualifying transaction includes the following.

The qualifying transaction involves the arm's-length acquisition of 1301756 B.C. Ltd. (doing business as Ocal Financial) for consideration of 32,167,803 common shares at a deemed price of 25 cents, including 6,029,500 shares issued pursuant to a subscription receipt brokered private placement completed by Ocal Financial concurrent with the transaction. Each subscription receipt converts into one common share and one warrant with an exercise price of 50 cents for 24 months.

Twenty-one million one hundred thirty-eight thousand one hundred four common shares issued pursuant to the qualifying transaction are subject to a Tier 2 escrow agreement to be released over a 36-month period. Two million five hundred thousand common shares are subject to a CPC escrow agreement to be released over an 18-month period.

The exchange has been advised that the above transactions have been completed.

Name change

Effective at the opening on Tuesday, July 21, 2026, the common shares of Ocal Financial will commence trading on the TSX Venture Exchange and the common shares of Ronin Ventures Corp. will be delisted.
