PATHFINDER ANNOUNCES PRIVATE PLACEMENT FINANCING

Pathfinder Ventures Inc. intends to complete a non-brokered private placement of up to 25 million common shares at a price of two cents per common share, to raise total gross proceeds of up to $500,000.

Finders' fees may be payable in accordance with the policies of the TSX Venture Exchange.

The company intends to use the net proceeds of the private placement for general working capital, to support the development of its Agassiz campground expansion and to advance acquisition opportunities within its pipeline, consisting of RV (recreational vehicle) resorts and RV and self-storage opportunities. No proceeds will be used for investor relations activities or for payments to non-arm's-length parties.

Exchange approval

The private placement is subject to the approval of the exchange. Any securities issued in connection with the private placement are expected to be subject to a four-month statutory hold period and a concurrent four-month exchange hold period.
