The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on July 25, 2023.

Number of units:  10 million units

Purchase price:  four cents per unit

Warrants:  five million share purchase warrants to purchase five million shares

Warrant exercise price:  eight cents for an 18-month period, subject to accelerated expiry

Number of placee:  16 placees

Total existing insider involvement:  3,837,500 (four insiders)

Total existing pro group involvement:  one million (two pro groups)

Agent's/finder's fee:  $10,080 and 252,000 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one share at the price of eight cents per share for a period of 18 months from the date of issuance, subject to accelerated expiry.
